1. Acceptance of Terms

Welcome to StockYangu! These Terms and Conditions ("Terms") govern your access to and use of the StockYangu inventory management application, website, and services (collectively, the "Service"). By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use our Service.

2. Definitions

• "Service" refers to StockYangu inventory management application and related services.
• "User," "you," "your" refers to the individual or business using our Service.
• "Business Owner" or "Admin" refers to the account holder who manages subscriptions and has full access.
• "Sales Person" refers to users with limited access added by a Business Owner.
• "Content" refers to data, text, images, and information you submit to the Service.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use StockYangu. By registering, you represent that you meet these requirements.

3.2 Account Information

You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

3.3 One Account Per Business

Each business should maintain only one Business Owner account. You may not create multiple accounts for the same business to circumvent subscription limits.

4. Free Trial and Subscription

4.1 Free Trial

New users receive a 14-day free trial to test the Service. No payment is required during the trial period. You can cancel anytime before the trial ends without charge.

4.3 Payment Terms

Subscriptions are billed monthly in advance via M-Pesa. You authorize us to charge your M-Pesa account automatically each billing cycle. Payments are non-refundable except as required by law.

4.4 Late Payments

If payment fails, you have a 3-day grace period to update payment. After that, your account may be suspended until payment is received. We may charge a late fee for overdue accounts.

4.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access until that date, but no refunds will be issued for partial months.

5. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to compete with us or create a similar product
• Scrape, harvest, or collect data from other users
• Overload or interfere with our servers or network
• Impersonate another person or entity
• Share your account credentials with unauthorized users
• Use the Service to send spam or unsolicited communications

6. Your Data and Content

6.1 Ownership

You retain all rights to the data and content you submit to StockYangu. We do not claim ownership of your inventory data, sales records, or business information.

6.2 License to Us

You grant us a limited license to store, process, and display your content solely to provide the Service to you. We will not use your data for any other purpose without your consent.

6.3 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backups. We recommend regularly exporting your data using our export features.

6.4 Data Deletion

If you delete your account, your data will be permanently deleted within 30 days, except where retention is required by law (e.g., tax records).

7. Intellectual Property Rights

The Service, including all software, designs, graphics, text, and logos, is owned by StockYangu or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

"StockYangu" and our logo are trademarks. You may not use our trademarks without prior written consent.

8. Service Availability and Support

8.1 Uptime

We strive to maintain 99.5% uptime but cannot guarantee uninterrupted service. We may perform maintenance, updates, or experience outages beyond our control.

8.2 Updates

We may update, modify, or discontinue features at any time. We will provide reasonable notice for significant changes that affect functionality.

8.3 Support

We provide email support at stockyangu@maganatti.com. Response times may vary. Premium support may be available for an additional fee.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOCKYANGU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not responsible for errors in your data entry, loss of data due to your device failure, or business losses resulting from your use of the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee the Service will be error-free, secure, or uninterrupted.

11. Indemnification

You agree to indemnify and hold StockYangu harmless from any claims, losses, damages, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) your data or content.

12. Termination

We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or engage in fraudulent or illegal activity. You may terminate your account at any time by canceling your subscription.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow you to export it, after which it will be permanently deleted.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.

Before filing a lawsuit, you agree to attempt to resolve disputes through good faith negotiation. Contact us at stockyangu@maganatti.com to initiate resolution.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Your continued use after changes constitutes acceptance.

15. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and StockYangu.

Severability: If any provision is found invalid, the remaining provisions remain in effect.

Waiver: Our failure to enforce a right does not waive that right.

Assignment: You may not assign these Terms without our consent. We may assign them to a successor or affiliate.
